Terms of Service
Please read these terms carefully before using Careborne. They govern your use of our platform and services.

1. Agreement to terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", the "Customer") and Careborne Ltd trading as Careborne ("we", "us", "our", "Careborne"), governing your access to and use of the Careborne platform, website, and related services.
By creating an account or using our services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
2. Description of service
Careborne is an assisted intelligence platform designed for children's homes, supported accommodation providers, and semi-independent services in the United Kingdom. The platform provides:
- Young person profile management and care planning tools
- Daily logging, incident reporting, and safeguarding workflows
- Staff management, rota planning, and training tracking
- Compliance monitoring and Ofsted readiness scoring
- AI-assisted features including smart summaries, risk analysis, and referral matching
- Stakeholder portal for external professional access
- Billing, invoicing, and reporting tools
3. Account registration
3.1 Eligibility
Careborne is intended for use by registered care providers operating in the United Kingdom. You must be at least 18 years old and authorised to act on behalf of your organisation to create an account.
3.2 Account security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Ensuring that user accounts are assigned appropriate clearance levels
- Promptly notifying us of any unauthorised access or security breach
4. Subscription and payment
4.1 Plans and pricing
Careborne is offered on a subscription basis. Current plans and pricing are available on our pricing page. We reserve the right to modify pricing with 30 days' written notice.
4.2 Billing
Subscriptions are billed monthly in advance. Payment is due on the date specified in your invoice. We accept payment by direct debit and bank transfer.
4.3 Cancellation
Starter and Professional plans can be cancelled at any time with effect from the end of the current billing period. Enterprise plans are subject to the contract terms agreed during onboarding. Upon cancellation, you retain read-only access to your data for 90 days, after which it is securely archived.
5. Acceptable use
You agree not to:
- Use the platform for any purpose other than legitimate care management
- Share login credentials between users or create shared accounts
- Attempt to access data belonging to other care providers
- Reverse engineer, decompile, or attempt to extract the source code of the platform
- Use the platform to store data unrelated to your care operations
- Circumvent or disable any security features, including clearance levels
- Use automated tools to scrape or extract data from the platform
6. Data and privacy
6.1 Data ownership
You retain full ownership of all data you enter into the Careborne platform. We do not claim any ownership rights over your data. We process your data solely to provide and improve the service, as described in our Privacy Policy.
6.2 Data processing
We act as a data processor on your behalf. A Data Processing Agreement (DPA) is included as part of your subscription and governs how we handle personal data. The DPA is available on request.
6.3 Data portability
You may export your data at any time using the platform's built-in export tools. Data can be exported in CSV and PDF formats. Upon termination of your subscription, we will provide a complete data export within 30 days of your request.
7. AI features
Careborne includes AI-assisted features designed to support, not replace, professional judgement. By using these features, you acknowledge that:
- AI-generated content (summaries, risk assessments, suggestions) is provided as a draft for human review
- You are responsible for reviewing and approving all AI-generated content before it becomes part of the care record
- AI features operate within the same clearance level restrictions as the logged-in user
- We do not guarantee the accuracy of AI-generated content and it should not be relied upon as the sole basis for care decisions
- Your data is not used to train third-party AI models
8. Service availability
8.1 Uptime
We aim to maintain 99.9% platform availability. Scheduled maintenance windows will be communicated at least 48 hours in advance and will be conducted during low-usage periods where possible.
8.2 Support
All plans include email support. Professional and Enterprise plans include priority support with faster response times. Support hours and response time commitments are detailed in your plan documentation.
9. Intellectual property
The Careborne platform, including its design, code, features, documentation, and branding, is the intellectual property of Careborne Ltd. Your subscription grants you a non-exclusive, non-transferable licence to use the platform for the duration of your subscription.
You may not copy, modify, distribute, or create derivative works based on the platform without our prior written consent.
10. Limitation of liability
To the maximum extent permitted by law:
- Careborne is provided "as is" without warranties of any kind, whether express or implied
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim arising from or related to the service shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for any decisions made based on AI-generated content within the platform
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify and hold harmless Careborne and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the platform, your breach of these Terms, or your violation of any applicable law or regulation.
12. Termination
We may suspend or terminate your access to the platform if:
- You breach these Terms and fail to remedy the breach within 14 days of notice
- Your payment is overdue by more than 30 days
- You use the platform in a way that poses a security risk to other users
- We are required to do so by law or regulatory authority
Upon termination, your right to use the platform ceases immediately. We will retain your data in accordance with our data retention obligations and provide a data export upon request.
13. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
